Client terms

The terms that apply when NeonPyro builds something for you. Plain English, because a fixed-price studio should have fixed-price paperwork.

Who these terms are between

These terms are between NeonPyro Ltd ("we", "us"), Rose Farm Studios, Moss Lane, Moore, WA4 6WF, registered in England & Wales no. [COMPANY NUMBER], and you, the client named in the quote. A contract is formed when you accept our written quote — by email confirmation or signature — not before.

Fixed quotes

After you tell us what you need, we send a written quote within two working days of our initial call. The quote states the total price, what's included, and the delivery timeline. Once accepted, that price is fixed: it will not increase for the work described, even if the work takes us longer than expected.

Our published package prices — Launch £1,950, Growth £3,950, Commerce £5,950 — describe what each package includes. If your project needs more than a package covers, we say so in the quote, before any contract exists.

Changes to scope

If you ask for something beyond the quoted scope, we'll tell you what it costs before doing it, and only do it once you've approved the extra cost in writing. Small judgement calls within the spirit of the quote, we just do — we don't invoice surprises.

Payment

Unless your quote says otherwise: 50% on acceptance of the quote, before work starts; 50% on completion, before handover or go-live. Invoices are payable within 14 days. We may pause work if an invoice is overdue. Overdue amounts may accrue interest under the Late Payment of Commercial Debts (Interest) Act 1998.

What we need from you

You agree to provide the content, brand assets, access and decisions reasonably needed to do the work, and to respond to feedback requests within a reasonable time. If delays at your end push the timeline out, the delivery date moves accordingly — we'll always tell you when that's happening.

You confirm that any material you give us (text, images, logos, data) is yours to use and doesn't infringe anyone else's rights.

Revisions

Each package includes the revision rounds stated in your quote. A revision round means a consolidated set of changes to the work we've presented — not a change of direction after approval. Additional rounds are quoted before we start them.

Timelines

The quote includes a delivery timeline. We commit to it provided we have what we need from you on time. If something on our side slips, we tell you early and give you a revised date — we don't go quiet.

Cancellation

You may cancel at any point in writing. If you cancel before work starts, we refund the deposit in full. If you cancel after work has started, we invoice for the work completed up to that point (never more than the fixed price) and refund any balance. If we cancel — which we'd only do where working together has genuinely broken down — we refund everything you've paid for work not delivered.

Intellectual property

On full payment, ownership of the final deliverables — the website or software we built for you — transfers to you. Until full payment, the work remains ours. We retain ownership of our pre-existing tools, libraries and know-how; you receive a licence to them as part of your deliverable. Third-party components (fonts, plugins, open-source libraries) remain under their own licences, which we'll list on handover. We may show the finished work in our portfolio unless you ask us not to in writing.

Hosting and support

Where your package includes hosting or a support period, the quote states what's covered and for how long. After that period, ongoing support is available at a rate we'll quote before any chargeable work.

Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything that can't be limited by law. Subject to that, our total liability in connection with the work is limited to the amount you've paid us for it, and we're not liable for indirect losses such as lost profits or lost data where you've been advised to keep backups.

Governing law

These terms are governed by the laws of England and Wales. We'll always try to resolve disputes informally first; failing that, the courts of England and Wales have jurisdiction.
